JAKARTA: On Friday, April 25, 2025, PT United Tractors Tbk (the “Company”) conducts the 2025 Annual General Meeting of Shareholders (“AGMS”) at the Catur Dharma Hall, Menara Astra, Jakarta.

The AGMS adopts the resolutions in brief as follows:

  1. Approve Annual Report for the Financial Year 2024, including the ratification of the Board including the ratification of the Supervisory Report of the Board of Commissioners and ratification of the Consolidated Financial Statements of the Company and Subsidiaries for the Fiscal Year 2024 audited by the Public Accountant Office of Tanudiredja, Wibisana, Rintis & Rekan, as stated in its report dated February 27, 2025, rendering fair opinion in all material respects.
  2. Approve the utilization of the profit of IDR 19.5 trillion as follows:
  • To distribute as cash dividend of Rp2,151 per share equal to the total amount of IDR 7.8 trillion, including the interim dividend for IDR 667 per share equal to the total amount of Rp2.4 trillion, has been paid on October 24, 2024, whereas the remaining amount of Rp1,484  per share equal to the total amount of Rp5.4 trillion will be distributed to each shareholder, whose names are listed in the shareholders’ registry on May 8, 2025, at 16:00 and will be paid on May 28, 2025.
  • The remaining Rp11.7 trillion is recorded as the Company’s retained earnings.
  1. To appoint the Board of Commissioners and Board of Directors are as follows:
  2. Ari Sutrisno as Director;
  3. Hendra Hutahean as Director;
  4. Gita Tiffani Boer as Commissioner; and
  5. Ignasius Jonan as Independent Commissioner.

Authorize the Board of Commissioners of the Company to determine the amount of remuneration and allowances of the Board of Directors, taking into consideration the recommendation of the Nomination and Remuneration Committee of the Company and approving the determination of salary or honorarium and allowances of the Board of Commissioners of the Company for the year 2025-2026.
  2. Appoint Public Accountant Firm Tanudiredja, Wibisana, Rintis & Rekan, one of the public accounting firms in Indonesia, registered in the Financial Services Authority, to audit the Consolidated Financial Statements of the Company and Subsidiaries for the financial year of 2025.

Following the 2025 Annual General Meeting of Shareholders (AGMS), the Company proceed with the following agenda, namely the Extraordinary General Meeting of Shareholders (EGMS), which resolved the following key decisions:

1. To approve the amendment of Article 3 of the Company’s Articles of Association regarding the Purpose and Objectives as well as Business Activities, including the Discussion of the Feasibility Study for the Addition of the Company’s Business Activities under KBLI Number 63122; and.

2. Grant authority to the Company’s Board of Directors to:

  • Make amendments and/or additions to the Articles of Association as resolved in this Meeting if deemed necessary or in the event of further regulations issued by relevant government institutions;
  • Partially or wholly state the resolutions of this Meeting, with substitution rights, in a notarial deed and submit applications for approval and notification to the Minister of Law of the Republic of Indonesia;
  • Sign letters, deeds, or other documents;
  • Appear before a Notary and/or authorized officials; and
  • Take all necessary actions to achieve the purposes mentioned above.

In the Social aspect, The Company supports diversity, equality, and inclusion within the organization. It aims to achieve zero workforce fatalities and a Lost-Time Injury (LTI) rate of 0.093 and seeks to reach 750,000 beneficiaries through community development programs to create added value.

In the Governance aspect, the Company strives to maintain business resilience by increasing non-coal revenue to 50%, promoting diversity and inclusion at the executive, director, and board of commissioners levels, and strengthening corporate governance with international standards to uphold good corporate governance (GCG) principles.
